• Disputes are resolved by binding arbitration (with a small claims option) and a class action waiver.

1) Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, and services of RiskVerge AI LLC (“RiskVerge AI,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you are using the services on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

2) Eligibility & Accounts

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use consumer features, and at least 18 to enter into contracts or purchase paid services. You are responsible for the confidentiality of your login credentials and for all activities under your account.

3) Description of Services

RiskVerge AI provides risk intelligence tools, communications, and related services that may include web and mobile experiences, dashboards, SMS/email alerts, and APIs (collectively, the “Services”). Features may change over time.

4) Communications; SMS & Consent

Consent to Receive Messages

By providing your phone number and opting in, you consent to receive SMS/text messages from RiskVerge AI about your account, alerts, and marketing (if you opt in to marketing). Message frequency varies. You can opt out at any time by replying STOP. For help, reply HELP. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Opt-In/Opt-Out

• Opt-in occurs when you check a consent box or otherwise clearly indicate consent on our website/app or via other documented means.
• To opt out, reply STOP to any message or change your preferences in your account (where available).
• For assistance, reply HELP or contact support@riskverge.com.

5) Privacy & Data Protection

Our Privacy Policy explains what we collect, why we collect it, and how we use and share information. By using the Services, you acknowledge our privacy practices.

6) Acceptable Use

You agree not to, and not to help others to:

• Violate any applicable law, regulation, or third-party right.
• Interfere with, disrupt, or attack the integrity or performance of the Services.
• Reverse engineer, decompile, or attempt to derive source code except as permitted by law.
• Use the Services to transmit malware, spam, or unlawful content.
• Misrepresent your identity or affiliation, or impersonate others.
• Harvest or collect information without consent, or circumvent access controls.

7) Intellectual Property

The Services, including all content, features, algorithms, models, text, graphics, logos, and designs, are owned by RiskVerge AI or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, create derivative works, distribute, or exploit any part of the Services.

Your Content

You retain ownership of content you submit to the Services (“User Content”). You grant RiskVerge AI a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use User Content to provide and improve the Services, subject to our Privacy Policy and any data processing terms we agree in writing.

8) Third-Party Services

The Services may interoperate with or link to third-party products and services (e.g., telecommunications carriers, cloud providers, data sources). We are not responsible for third-party terms, content, or actions.

9) Beta/Trial Features

We may offer features labeled “Beta,” “Preview,” or similar. These are provided “as is,” may be unreliable, and may be discontinued at any time. Use at your own risk.

10) Fees & Taxes

Paid Services, if any, are billed as presented at purchase or in an applicable order form. You are responsible for all applicable taxes. Except where required by law or expressly stated, fees are non-refundable.

11) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RISKVERGE AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISKVERGE AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICES DURING THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13) Indemnification

You will defend, indemnify, and hold harmless RiskVerge AI and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

14) Suspension & Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, pose a risk, or for other legitimate reasons. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (e.g., IP, Disclaimers, Liability, Indemnity, Dispute Resolution).

15) Changes to the Services or Terms

We may modify the Services and these Terms from time to time. We will update the “Effective” date when we do so and, where required, provide notice. Continued use after changes become effective constitutes acceptance.

16) Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law principles.

17) Dispute Resolution & Arbitration; Class Action Waiver

Except for individual claims in small claims court, you and RiskVerge AI agree to resolve any disputes related to the Services or these Terms through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will take place in Loudoun County, Virginia, unless the parties agree otherwise, and may be conducted by video/phone where permitted. YOU AND RISKVERGE AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

If this arbitration/class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will proceed in court, and the remainder of the provision will remain in effect.

18) Severability; Assignment; Entire Agreement; Force Majeure

• If any provision is unlawful or unenforceable, it will be modified to the minimum extent necessary or severed; the remainder remains in effect.
• You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
• These Terms (and any order forms or policies referenced) are the entire agreement regarding the Services.
• We are not liable for delays or failures due to events beyond our reasonable control (force majeure).
